These Terms of Service ("Terms") govern your access to and use of the Picly website and services located at picly.net (the "Service"), operated by Picly ("we", "us", or "our").

By creating an account, accessing the Service, or using any upload link generated by the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Picly is a Software-as-a-Service (SaaS) application that allows registered users ("Account Holders") to collect photo submissions from third parties ("Uploaders") using shareable upload links.

The Service is intended as a temporary photo collection and transfer platform, not as permanent storage.

Account Holders may:

  • Create projects
  • Generate upload links
  • Receive photo submissions
  • Download or transfer files
  • Delete files and sessions
  • Manage subscription billing

Uploaders may submit photos through an upload link without creating an account.

2. User Types

2.1 Account Holders

Account Holders are registered users who create an account and subscribe to a paid plan.

Account Holders are responsible for:

  • All activity under their account
  • All content submitted through their upload links
  • Compliance with all applicable laws

You must be at least 18 years old to create an account.

2.2 Uploaders

Uploaders are individuals who submit photos through an upload link provided by an Account Holder.

Uploaders:

  • Do not create a Picly account
  • Are not billed by Picly
  • Submit content at the direction of the Account Holder

By uploading files, Uploaders agree that they have permission to submit the content.

3. Acceptable Use

You agree not to use the Service to collect, store, or distribute content that:

  • Is unlawful
  • Infringes copyright, trademark, or privacy rights
  • Contains pornography involving minors
  • Contains malware or harmful code
  • Violates any applicable law or regulation

You are responsible for ensuring that you have permission from individuals appearing in submitted photos when required by law.

We may remove content or suspend accounts that violate these rules.

4. Accounts and Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All actions taken under your account
  • Ensuring your contact and billing information is accurate

We may suspend accounts that show suspicious or abusive activity.

Passwords are stored using secure hashing and all connections use HTTPS.

5. Subscription Plans and Billing

Picly is a paid subscription service. Plans include a set amount of storage and may include overage charges. Billing is processed by Stripe. Picly does not store credit card numbers.

5.1 Free Trial

Plans may include a free trial period. Payment information may be collected at signup but will not be charged until the trial ends. Overage charges may still accumulate during the trial.

5.2 Storage Limits

Each plan includes a storage allowance. Storage includes:

  • Uploaded files
  • Generated thumbnails

Uploads are not blocked when limits are exceeded.

5.3 Overage Charges

If storage exceeds the included amount, overage fees will be charged according to your plan. Overage is calculated based on usage during the billing period and may be billed at renewal.

5.4 Plan Changes

Upgrades may take effect immediately. Downgrades may take effect at the next billing cycle. Price differences may be charged or credited according to our billing rules.

5.5 Payment Failure

If payment fails:

  • The account may be restricted
  • A grace period may apply
  • Data may be deleted after the grace period

6. Data Storage and Retention

Picly is intended for temporary collection of files. We do not guarantee long-term storage.

6.1 Active Accounts

Files are retained while the account is active.

6.2 Deleted Files

Deleted files may be permanently removed and cannot be recovered.

6.3 Cancelled Accounts

If a subscription ends, data may be deleted after a grace period.

6.4 Temporary Files

ZIP downloads and temporary files may be automatically deleted.

6.5 Google Drive Transfers

If files are transferred to Google Drive, copies stored in Picly may be deleted without affecting the Google Drive copy.

7. Third-Party Services

The Service uses third-party providers, including but not limited to:

  • Stripe (billing)
  • Google (Drive integration)
  • Cloudflare (security and storage)
  • Hosting and cloud providers

We are not responsible for outages or failures caused by third-party services.

Your use of those services may also be subject to their terms.

8. Upload Links

Upload links generated by Account Holders allow third parties to submit files.

Account Holders are responsible for:

  • Who receives the link
  • How the link is used
  • Content submitted through the link

Upload links may be disabled at any time.

We are not responsible for misuse of links shared by users.

9. Intellectual Property

You retain ownership of your content.

You grant Picly permission to:

  • Store files
  • Process files
  • Generate thumbnails
  • Transfer files
  • Display files to the Account Holder

We do not claim ownership of uploaded photos.

10. Privacy

Our Privacy Policy describes how we collect and use data.

By using the Service, you agree to our Privacy Policy.

11. Suspension and Termination

We may suspend or terminate accounts that:

  • Violate these Terms
  • Abuse the Service
  • Fail to pay subscription fees
  • Attempt to bypass billing limits
  • Upload illegal content

Upon termination, data may be deleted.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available".

We do not guarantee:

  • Continuous availability
  • Error-free operation
  • Permanent storage
  • Data recovery

Use the Service at your own risk.

13. Limitation of Liability

To the maximum extent allowed by law, Picly shall not be liable for:

  • Lost data
  • Lost profits
  • Business interruption
  • Indirect or consequential damages

Total liability shall not exceed the amount paid for the Service in the previous 12 months.

14. Changes to the Service

We may modify or discontinue features at any time. We may change pricing, limits, or plans with notice.

Continued use of the Service means you accept the changes.

15. Changes to Terms

We may update these Terms at any time. The updated version will be posted on the website.

Continued use of the Service after changes means you accept the revised Terms.

16. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law rules.
